Acceptance of These Terms
These Terms of Use (“Terms”) govern your access to and use of the Delta Field Services, LLC website located at deltafieldservices.com (the “Website”), together with any content, functionality, and services made available through that Website. By accessing or using the Website, you agree to be bound by these Terms and by the DFS Privacy Policy that applies to the Website.
If you do not agree to these Terms, do not use the Website. If you are using the Website on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
Changes to These Terms and to the Website
Delta Field Services may update these Terms from time to time in its discretion. Revised Terms will become effective when posted to the Website, unless a later effective date is stated. Your continued use of the Website after revised Terms are posted constitutes your acceptance of the revised Terms.
Delta Field Services may also modify, suspend, restrict, or discontinue all or any portion of the Website at any time, with or without notice, and without liability.
Permitted Use
You may use the Website only for lawful purposes and only to learn about DFS, evaluate DFS services, communicate with DFS, or otherwise engage with the Website in a legitimate business or informational capacity.
You may print or download a reasonable number of copies of Website pages for your own internal, non-commercial reference, provided that you do not remove any copyright, trademark, or other proprietary notices.
Prohibited Conduct
You may not, and may not attempt to:
• use the Website in violation of any applicable law, regulation, or third-party right;

No Accounts; Accuracy of Information Submitted
The current public Website does not require users to create an account to browse its content. If DFS later enables portals, login features, or password-protected areas, additional terms may apply to those features.
If you submit information to DFS through the Website, including through the contact form or by email links made available on the Website, you agree to provide information that is accurate and not misleading.
Submissions and Communications Through the Website
The Website may allow you to contact DFS, including by submitting your name, email address, phone number, company name, and related inquiry information. You agree not to submit sensitive personal information, export-controlled information, trade secrets, or other proprietary or confidential information through the Website unless DFS has expressly requested it and appropriate protections are in place.
A communication sent through the Website does not, by itself, create a client, contractor, subcontractor, employment, joint venture, fiduciary, or other special relationship with DFS. Any services provided by DFS are governed solely by a separate written agreement signed by authorized representatives of the parties.

The Website may contain links to third-party websites, tools, or services for convenience, including without limitation job postings or recruiting platforms, Google Maps or other mapping tools, and DFS social-media pages. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DFS’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS OR LIMITATIONS; IN THOSE JURISDICTIONS, THIS SECTION APPLIES ONLY TO THE EXTENT PERMITTED BY LAW.
Indemnification
You agree to defend, indemnify, and hold harmless DFS, its affiliates, and their respective directors, officers, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your misuse of the Website.
Governing Law; Venue
These Terms and any dispute or claim arising out of or relating to the Website or these Terms, including non-contractual disputes or claims, will be governed by the laws of the State of Tennessee, without regard to conflict-of-laws principles.
Any action or proceeding arising out of or relating to the Website or these Terms must be brought exclusively in the state or federal courts located in Shelby County, Tennessee, and each party submits to the personal jurisdiction and venue of those courts.
Geographic Scope
The Website is intended for users located in the United States. DFS makes no representation that the Website is appropriate or available for use outside the United States. Persons who access the Website from outside the United States do so at their own initiative and are responsible for compliance with applicable local law.
Termination
Delta Field Services may suspend or terminate your access to the Website, in whole or in part, at any time and for any reason, including if DFS believes you have violated these Terms. Sections that by their nature should survive termination will survive, including without limitation those relating to intellectual property, disclaimers, limitations of liability, indemnification, and governing law.
Miscellaneous
These Terms constitute the entire agreement between you and DFS regarding the Website and supersede all prior or contemporaneous understandings regarding the Website. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. DFS’s failure to enforce any provision will not operate as a waiver of that provision or any other provision.
